CPA By-Laws Proposed Changes

2020 Proposed CPA By-Laws Update

The CPA Board of Directors evaluated the structure of the organization to better prepare it for the future and to reflect the changes that have occurred in the industry. The resulting changes are listed below. These recommendations will be discussed during the CPA member meeting on August 20th, with the member vote to follow.


Classes of Membership

  • Created a new class of membership called Communication Members
  • Included the word Organizational in front of the four voting eligible member classes to clearly identify who has voting privileges
    • Organizational Media Members
    • Organizational Communication Members
    • Organizational Staff Members
    • Organizational Freelance Members
  • Eliminated the obsolete class of Life Member
  • Changed the name of Affiliates to Individual Members
  • Changed the title of registered agent to registered representative

Voting

  • The new Organizational Communication Member now has voting privileges
  • No other changes were made to the parameters of voter eligibility
  • All publisher, staff and freelance members still have voting privileges
  • Updated the voting process to electronic only voting, thereby eliminating all references to voting with validated vouchers and the ability to use proxy votes
  • Defined a Board Quorum as: half plus one of total board members
  • Defined parameters to change the bylaws to: from 50 to 100 members must vote and 60% of voters must approve the change

Name

  • The Association will maintain its corporate name, The Catholic Press Association of the United States and Canada, Inc.
  • It will do business as (DBA) the Catholic Media Association
  • Updated the PREAMBLE to expand membership from print to all communication media

Meetings

  • Update language in Article VI. Board of Directors, Section 4. Meetings, to clarify that the annual meeting is open to all members.
  • Updated language in Article XII. Section 3. Meetings, to clarify that board meetings not in executive session may be attended by association members, and that committee meetings are just for those appointed to the committee.

 

The CHANGES document follows the Bylaws by Article and Section and summarizes all changes made within those Sections allowing members to read the Bylaws and see where language was updated and see the corresponding vote where members address that change.

You can download a SAMPLE BALLOT to review the voting needed to approve and update the by-laws. We ask that every voting member make time to review the changes and to vote. The link for voting will be sent out August 20th, and will remain open for two weeks.
